Like Derp said the device could be both (since it's obviously a tool for defense, which would give us a significant strategic advantage). Similar to what they used in the Halo movie, but doubling as a personal shield like nifty little thing. If we wanted to get really fancy it could also be a but I'd think the ability to be invisible would probably be most efficient. The implications of using a personal shield/cloaking device should also have pros and cons, realistically. Like, even though your shield protects you, you could probably still drown underwater, but perhaps when you're cloaked it not only hides your appearance but your heat signature, making you difficult to track with infrared or other heat-seeking sensors. Just ideas.
Disguise plus invisibility = Spy from TF2.
Anyways, I think the cons for invisibility should be that, you aren't able to pass through enemies and people can still hear you and smell you. Just because you can't be seen doesn't mean you're not there. And if you get wet, there will still be water dripping off from you, even if you're invisible. Set on fire? Seen, and dying.
You still need to take care with it.
And for disguise kit, you can look like and smell like and sound like the person you're disguised as. However, when seen in infra-red, your true form is seen. Keeps you from staying with the enemy for too long.
