Well technically I think Deathlok counts as a living being. His body is inorganic, but it's made of his brain. It's be different if it were a machine programmed using his brain waves, but... you know... 
All in all I'd think Deathlok is closer to a cyborg which would mean he's a living thing and he does have a soul... 

Grim Shadow I assume would have a soul because generally when you die your soul travels on and not your body. Death would have taken the soul and turned it into what is now Grim Shadow who is a servant of death. Or rather, a herald if you will.
